TERMS OF SERVICE Polaris — Founder, Investor and Trusted Partner Platform Effective Date: 25 August 2026 Last Updated: 25 August 2026 These Terms of Service (“Terms”) govern access to and use of the Polaris platform by Founders, Investors, Trusted Partners and other permitted users. Polaris is operated by Anjanajyoti Healthtech Private Limited (“Polaris”, “we”, “us” or “our”). By creating an account, accessing or using Polaris, you agree to these Terms and the policies incorporated into them. 1. About Polaris Polaris is a discovery and introduction platform designed to help Founders, Investors and Trusted Partners discover relevant profiles and facilitate initial introductions. Polaris does not negotiate investments, arrange investments, conduct investment closings, hold funds in escrow, manage funds or guarantee fundraising outcomes. At launch, India is the active commercial market. International expansion may be introduced later with jurisdiction-specific terms and notices where legally necessary. 2. Eligibility and Authority You must be at least 18 years old and legally capable of entering into the applicable agreement, or satisfy any higher age or capacity requirement imposed by the law applicable to you. You may register personally or, where applicable, on behalf of an organisation, fund, company or professional practice. A person acting for an organisation must have appropriate authority. The intake identifies founders, directors and authorised representatives as appropriate representatives; partners and employees may register as Investors and Trusted Partner Firms where permitted. Multiple accounts or representation of multiple companies/funds are not permitted in Version 1 unless Polaris expressly permits otherwise. You must provide information that is accurate, current and not misleading. 3. User Roles 3.1 Founders A Founder is a person working on a startup at any stage from ideation through Series C and beyond, subject to Polaris's eligibility and verification requirements. 3.2 Investors Investors may include individuals or entities such as angel investors, family offices, venture capital firms, private equity firms and other legally valid investors. 3.3 Trusted Partners Trusted Partners are service providers that may assist Founders, including professional and technical service providers. A Trusted Partner listing indicates a verification/listing status only and is not a Polaris endorsement, guarantee, professional certification or guarantee of service quality or outcome. 4. Accounts and Passwordless Authentication Polaris uses passwordless authentication. Signup and authentication may use mobile/WhatsApp OTP and email OTP as specified by the platform. Login uses the applicable OTP authentication flow. You are responsible for keeping access to your mobile device, email account and WhatsApp account secure. You must not share authentication codes or permit another person to access your account. You must promptly notify Polaris if you suspect unauthorised access, account takeover or misuse. 5. Profile Creation, Verification and Publication All user profiles are subject to review before publication. Polaris may manually verify submitted information using information supplied by users and government or public internet sources. A Verified badge means that specified information was reviewed or checked by Polaris. It does not guarantee completeness, truth, current accuracy, suitability, professional quality, investment interest, funding or any commercial outcome. Polaris may reject, suspend, revoke or require renewed verification where information is inaccurate or misleading, verification is no longer reliable, or the user breaches applicable policies. Users must update material profile information as soon as reasonably possible. 6. Discovery, Matching and Introductions Polaris provides discovery and relevance-based matching functionality. At the current launch state, the discovery/ranking function is rules-based and materially considers sector, investment stage, geography and recency. It is not an investment recommendation or prediction. Either eligible role may initiate an introduction through the Introduction Engine. The recipient may accept or decline. Introduction requests may remain pending for up to 15 days. Polaris does not guarantee that a recipient will accept an introduction, provide contact details, conduct due diligence, invest, purchase services or enter into any transaction. Any contact sharing occurs only through approved platform workflows. Users may conduct subsequent due diligence or communications outside Polaris after an introduction has been accepted, subject to applicable law and these Terms. 7. Visibility and Confidential Information Founders cannot discover other Founders through Polaris. Investors are not generally visible to other Investors. Users see only information permitted by their role, matching/discovery state and applicable workflow. Confidential pitch decks, financials and other private documents are restricted to authorised/matched Investors and Polaris Super Admins as applicable. You must not disclose or misuse another user's confidential information except as permitted by the relevant workflow or with appropriate authority. 8. Founder Obligations Provide truthful and sufficiently current startup, fundraising, ownership, team and other information requested by the applicable onboarding workflow. Upload company formation documents and other requested materials only where you have the right and authority to do so. Do not publish or submit unlawful, misleading or prohibited fundraising claims or investment offers. Do not upload confidential or third-party information that you are not authorised to disclose. Conduct your own diligence on Investors, Trusted Partners and opportunities. 9. Investor Obligations Provide accurate identity, profile, investment preference and verification information. Self-certify that you understand startup-investment risks and can bear the possibility of total loss where applicable. Conduct your own due diligence and obtain independent professional advice where appropriate. Do not scrape profiles, circumvent the introduction process, harvest contact information or directly solicit users outside approved workflows. Do not use Polaris to publish prohibited investment offers, guarantees of returns or unlawful financial promotions. 10. Trusted Partner Obligations Maintain accurate firm, category, credential and verification information. Understand that Trusted Partner status is a verification/listing status and not an endorsement or guarantee by Polaris. Underlying professional or commercial services are contracted directly between the user and the Trusted Partner; Polaris is not the provider of those underlying services. Do not contact users outside approved workflows, export leads or use Polaris contact data for unrelated marketing. Maintain any professional licence, qualification or authorisation required to provide the relevant service. A Trusted Partner listing/subscription may expire or be suspended if the subscription is not renewed or if Polaris identifies a material policy, conduct or verification issue. 11. Polaris's Limited Role and No Investment Advice Polaris is a discovery and introduction platform. Polaris does not act as an investment adviser, broker, dealer, fund manager, escrow agent, investment bank or guarantor of funding unless expressly agreed in a separate written agreement and permitted by applicable law. Polaris does not recommend that a user invest in a particular startup or reject an investment opportunity. Automated or rules-based rankings are not investment, legal, tax, accounting or other professional advice. Users are responsible for independently evaluating opportunities, representations, financial information, counterparties and professional services. 12. User Content You retain your rights in content you submit, subject to the rights necessary for Polaris to operate the service. You grant Polaris a non-exclusive, worldwide, royalty-free licence for the duration necessary to operate the service to host, store, reproduce, format, display, transmit and process submitted content for account operation, matching, verification, security and service delivery. Polaris will not use confidential or non-public documents for public marketing. Public profile excerpts, logos or testimonials may be used for marketing only where the user has the necessary rights and permissions. You represent that you have the rights and authority required to upload and permit processing of your content, including third-party personal data, copyright and trademark material. 13. Intellectual Property Polaris and its licensors retain all rights in the Polaris platform, software, interface, trademarks, logos, databases, design, documentation and other proprietary materials except for user content or third-party materials. Subject to these Terms, Polaris grants you a limited, non-exclusive, non-transferable and revocable right to use the platform for its intended purpose. You must not copy, scrape, systematically extract, harvest, reverse engineer, resell, frame, mirror or create a competing database from Polaris content or circumvent technical access controls, except to the extent a restriction is prohibited by mandatory law. 14. Acceptable Use You must not use Polaris to: engage in unlawful activity, fraud, deception or impersonation; publish false or materially misleading company, investor or partner information; publish prohibited securities/investment offers, guarantees of returns or unlawful public fundraising appeals; facilitate money laundering, sanctions evasion or terrorist financing; harass, threaten, abuse or target others with hateful or unlawful conduct; upload malware, harmful code or content that compromises platform security; violate privacy, intellectual-property or other rights; scrape, circumvent, harvest or bypass introduction, payment, verification or access controls; send spam or unsolicited solicitation; manipulate verification, reviews or platform records; or otherwise create material legal, security or user-safety risk. 15. Moderation and Enforcement Polaris may use automated technical controls and human review. Content may be hidden, blocked or removed without prior notice where reasonably necessary for safety, fraud prevention, legal compliance, security, protection of users, suspected serious policy violations or where advance notice would increase risk. Polaris may reject registration, restrict features, suspend access, remove content or terminate an account for inaccurate or misleading information, failed or revoked verification, fraud, impersonation, unlawful conduct, sanctions/compliance concerns, abuse, IP/privacy violations, security threats, scraping/circumvention, payment abuse, misuse of introductions or contact data, breach of these Terms or other policies, non-payment, or other material risk. Immediate action without prior notice may be taken for suspected fraud, impersonation, account takeover, serious security threats, malware, unlawful or dangerous activity, sanctions/AML concerns, severe harassment or abuse, material privacy/IP violations, attempts to bypass platform controls or serious payment abuse. 16. Appeals and Complaints Where practicable, Polaris will provide a reason for suspension or termination and an opportunity to appeal, except where disclosure is prohibited by law or would compromise an investigation or security control. Appeals may be submitted to support@anjanajyoti.org with the account identifier, decision being challenged and supporting information. Polaris aims to acknowledge appeals within 2 business days and provide a substantive response within 7–15 business days depending on complexity, subject to applicable law. Operational support is available at support@inpolaris.com. 17. Payments and Paid Services Paid services, subscriptions and introduction credits are governed by the applicable Payments and Refund Policy and checkout disclosures. The platform may use third-party payment providers. The current launch position is that the payment system remains mock until a live provider is approved and activated. Razorpay is the intended first live provider; Cashfree and other gateways may be used if approved and configured. Subscriptions may auto-renew according to the applicable plan and checkout terms. If a payment fails, the account may remain accessible while paid features or entitlements are restricted, subject to any applicable grace period or legal rights. Introduction credits are purchased before use. Credits and paid subscription fees are generally non-refundable except for applicable statutory rights, duplicate/unauthorised charges, technical/payment failures or other published exceptions. 18. No Guarantees Polaris does not guarantee the accuracy, completeness, availability or timeliness of user-provided information. Polaris does not guarantee investor interest, funding, service quality, compatibility, returns, commercial outcomes or any particular number or quality of introductions. Users must independently verify information and conduct appropriate legal, financial, technical and commercial diligence. 19. Third-Party Services and Links Polaris may depend on third-party providers for hosting, database, authentication, communications, payments and other services. Third-party services are subject to their own terms and policies. Polaris is not responsible for third-party services to the extent permitted by law. Links or references to third-party websites or services do not constitute an endorsement or guarantee. 20. Privacy Personal information is handled in accordance with the Polaris Privacy Policy. By using Polaris, you acknowledge that information may be processed as described in that Policy. 21. Service Availability and Changes Polaris may modify, suspend or discontinue features, functionality or parts of the platform where reasonably necessary for operational, legal, security or business reasons. Material changes to these Terms will be notified in advance where reasonably practicable and where required by law. Immediate notice may be provided where necessary for security, legal compliance or urgent operational reasons. 22. Termination and Consequences You may stop using Polaris and request account closure subject to applicable procedures and legal obligations. Polaris may suspend or terminate accounts as described above. On suspension, access may be restricted while relevant information and content may be preserved as necessary for investigation, legal obligations and security. Pending introductions may be paused, declined or terminated depending on the circumstances. On termination, personal information and content will be deleted or anonymised when no longer required, subject to legal, accounting, dispute, security, audit and backup-retention requirements. Paid access is handled according to the applicable Payments and Refund Policy and mandatory law. 23. Indemnity To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Polaris, its officers, directors, employees and authorised representatives from claims, losses, liabilities, costs and expenses arising from your unlawful conduct, breach of these Terms, infringement of third-party rights, unauthorised content or misuse of the platform. 24. Limitation of Liability To the maximum extent permitted by applicable law, Polaris will not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, opportunities, investments, data or business arising from or related to use of the platform. Polaris does not exclude or limit liability that cannot lawfully be excluded or limited, including liability that mandatory law requires to remain available to a user. Nothing in these Terms is intended to remove non-waivable consumer or statutory rights. 25. Dispute Resolution and Governing Law For Indian users, these Terms are governed by the laws of India. Subject to mandatory statutory rights, courts in New Delhi, Delhi shall have jurisdiction. The preferred dispute process is good-faith written escalation to Polaris support/legal contact, followed by management review and mediation where appropriate. If unresolved, court proceedings may be commenced in the agreed Indian jurisdiction. International users may be subject to region-specific terms, governing-law provisions and dispute mechanisms when Polaris expands internationally. Polaris will not apply an Indian clause blindly where mandatory local law requires otherwise. 26. Severability If any provision of these Terms is found invalid, unlawful or unenforceable, it will be modified or severed only to the extent necessary, and the remaining provisions will continue in effect. 28. Entire Agreement and Order of Precedence These Terms, together with the Polaris Privacy Policy, Cookies Policy, Payments and Refund Policy and any role-specific terms or policies expressly incorporated into them, form the agreement governing use of Polaris. If a specific role-specific term expressly addresses a matter differently from a general provision, the specific provision will apply to that role to the extent of the inconsistency, subject to mandatory law. 29. Language English is the launch language for Polaris legal documents and consent screens. Future translations may be provided for international markets. Where translations conflict, the English version controls unless local law requires otherwise. 30. Launch Dependencies This Terms document is based on the completed Polaris Legal Launch Intake Questionnaire. Before commercial publication, Polaris should confirm the final live payment provider(s), production WhatsApp authentication activation, formal Privacy/Data Protection/Grievance Officer appointment where required, applicable vendor terms and the final Indian legal review.
